Miller Thomson LLP announced the appointment of Zachary Masoud – who focuses on all aspects of domestic, cross-border, and multi-jurisdictional banking and secured and unsecured lending transactions – as a Toronto-based partner in the firm’s financial services group as of Nov. 10. 

He has acted on behalf of Canadian and foreign banks, domestic and international corporations, and private equity firms. According to the firm’s news release, he has assisted clients with structuring and negotiating complex financing arrangements. 

Miller Thomson noted that Masoud has helped clients navigate shifting market conditions and regulatory frameworks, as well as matters involving acquisition financings, project finance, mining finance, syndicated and bilateral financings, and mezzanine financings. 

According to his biography on the firm’s website, his work has spanned mergers and acquisitions matters, as well as the energy and natural resources industry. He earned admission to the Ontario bar in 2015. 

Per his firm bio, Masoud has acted as a panelist or speaker at the Financing and Security Strategic Day conference in Montreal, at educational seminars for banks, and at other industry events. He has also served as an editor of publications focusing on power and energy.

Masoud was a course instructor at York University’s Osgoode Hall Law School from September 2023 to November 2025. 

At McCarthy Tétrault LLP in Toronto, he has served as a partner from January 2023 to November 2025 and as a business law associate from September 2015 to January 2023. He was previously an articling student, a student-at-law, and a summer law student at the firm. 

According to his LinkedIn page, Masoud worked as a legal clerk at the Quebec Superior Court’s commercial chamber from September 2012 to May 2013. 

He acted as a summer legal intern at Consilium Law Corporation, an international boutique law firm focusing on corporate law, from May 2012 to June 2012 in Singapore. 

Before that, Masoud worked as a credit underwriter at HSBC in Montreal from May 2007 to June 2009. 

At McGill University, he obtained his BCL/LLB degree in 2013 and his BA (honours), majoring in history and minoring in political science, in 2010.
