International group of firms help secure new home for Peppa Pig
Some of the most iconic law firm brands in the world have helped secured a new home for some of the most iconic entertainment brands in the world.

A Magic Circle firm together with a leading Canadian firm and several US firms have been involved in the sale of Entertainment One (eOne) to Hasbro Inc. for around U$4 billion.

eOne’s brands include the hugely popular preschool TV character Peppa Pig as well as PJ Masks which is currently being rolled out in the massive Chinese market. The firm is registered in Canada and has worldwide offices including London, Sydney, and Shanghai.

Hasbro’s brands include Nerf, Transformers, Monopoly, and Power Rangers. The firm is headquartered in Rhode Island and has a global presence from toys and games to television, movies, digital gaming and consumer products.

Cravath, Swaine & Moore LLP, Stikeman Elliott LLP and Freshfields Bruckhaus Deringer LLP are serving as Hasbro’s legal counsel while Osler, Hoskin & Harcourt LLP and Mayer Brown International LLP are advising eOne.

The deal is structured as a statutory plan of arrangement under the Canada Business Corporations Act and eOne’s Canadian TV and film operations will continue as a distinct Canadian-controlled business within the combined business.

Law firms operating in the Cayman Islands must now register
A new regulation requires law firms and lawyers operating in the Cayman Islands to register with the newly established Cayman Attorneys Regulation Authority (CARA). And time is running out.

The move is designed to help the jurisdiction crack down on money laundering and means that all ‘Designated Non-Financial Businesses and Professionals' must complete the necessary form to register by the end of August 2019 according to International Investment.

Clyde & Co to transfer private client team to Scottish firm
The private client practice acquired by global firm Clyde & Co as part of a merger in 2015 is to move to a new firm.

The Scottish team joined Clyde when it merged with Simpson & Marwick but the firm has agreed to transfer it to local firm Gillespie Mcandrew from 2nd September 2019.

Clyde wants to concentrate on its core practice areas of insurance, energy, trade & commodities, transport and infrastructure.

The Simpson & Marwick name will continue to be used for Clyde & Co’s residential property division in Scotland.
